Advanced Financial Reporting (AFR) Business Objects (All)

Business Objects is licensed pursuant to the SAP Authorized Reseller End User License Agreement or similar agreement available on https://www.sap.com/about/trust-center/agreements.html in effect at the time licensed.

Epicor Knowledge Mentor (All)

Epicor Knowledge Mentor is licensed pursuant to the SAP Authorized Reseller End User License Agreement or similar agreement available on https://www.sap.com/about/trust-center/agreements.html in effect at the time licensed.

ITSM (All)

ITSM Crystal Reports Distribution Role is licensed pursuant to the SAP Authorized Reseller End User License Agreement or similar agreement available on https://www.sap.com/about/trust-center/agreements.html in effect at the time licensed.

Microsoft Products (All)

Microsoft products are licensed separately pursuant to the Microsoft End User License Agreement (included with the product) and are licensed only for use in connection with Epicor applications and third-party applications supplied by Epicor to Customer.

Support amounts referenced in an Order include fees for Microsoft Embedded Maintenance.

Microsoft SQL Servers

Microsoft SQL Server is licensed on a "core" basis, which allows an unlimited number of users or devices to connect from either inside or outside a firewall. One Microsoft "2-Pack" SKU is required for every 2 cores; and a minimum of 4 cores are required for each physical processor (even for 2-core processors). Customer is responsible to ensure the appropriate amount of core licenses are obtained for its system(s). By submitting an Order, Customer hereby represents and warrants that it has done so and that the core licenses being obtained by Customer under the Order fulfill Microsoft's license requirements. If Customer increases the number of cores or processors on a server containing SQL Server or reinstalls the SQL Server software onto a different server it must re-determine its license needs and immediately obtain additional core licenses as required.

Microsoft SQL Server "runtime" licenses are limited for use solely in conjunction with Epicor applications and third-party applications supplied by Epicor. A Microsoft SQL Server "runtime" license may not be used to develop new applications, databases, or tables for non-Epicor supplied applications.

Smart Software Products (All)

Smart Software Products are licensed separately pursuant to the Smart Software License Agreement (included with the product) or similar agreement available at https://smartcorp.com/smart-master-saas-agreement-for-epicor-customers/ in effect at the time licensed.

Supply Chain Management

EDI license does not include any third-party software, translation maps, or customizations necessary for full EDI implementation.

Avalara Products (All)

Any Avalara Services are not licensed pursuant to your Epicor EULA/MCA but provided separately pursuant to the Avalara Inc "Avalara Terms and Conditions" ("Avatax Agreement"). a current copy of which is available to review at https://legal.avalara.com/. Epicor performs "first-line" Support for the services described in the AvaTax Agreement. All other maintenance and support is delivered by Avalara. Epicor will pass through to you any representations and warranties provided to the "End-User" in the AvaTax agreement, to the extent not already so provided directly to Customer. Epicor will use reasonable efforts to assist Customer with any dispute between it and Avalara in performing the services described in the Avatax Agreement.

Epicor currently resells the initial 12-month SaaS subscription period for the AvaTax SaaS Services. Avalara offers an additional 3 months for no additional fee, resulting in an initial effective subscription term of 15 months. All AvaTax renewals and terminations will be contracted directly with Avalara.

Epicor Prophet 21 (Included Sybase Programs)

Epicor Prophet 21 includes certain PowerBuilder and InfoMaker applications originally developed by Sybase (now SAP SE or an affiliate thereof) (the "Sybase Programs"), which may contain third party open source and/or other types of free download components ("Free Download Components") that require the pass-through of third party notices and/or license terms, which are identified in the Free Download Components List applicable to Sybase PowerBuilder version 12.5.x and InfoMaker v11.5.x.

The Free Download Components are provided "AS IS" by the third party licensors thereof, who disclaim all liabilities, damages, warranties, indemnities, and other obligations of any kind, express or implied, with regard to the Free Download Components. Nothing in the foregoing affects any performance warranty provided by Epicor with regard to Epicor Prophet 21 solution as a whole. The Free Download Components are excluded from any indemnity provided by Epicor or its suppliers (including without limitation SAP SE or its subsidiaries or affiliates) in the Agreement. For the avoidance of doubt, SAP SE (and its subsidiaries and affiliates) shall not be responsible for any direct, indirect, incidental, special and consequential damages under the Agreement with respect to the Sybase Programs including any Free Download Components contained therein.

This application is offered by SecturaSOFT – an independent third party. SecturaSOFT offers an SLA and credits for their cloud-based applications, as follows:

Service Level Agreement And Process
SecturaSOFT SaaS Services and Hosting Services
(Updated July 7th, 2021)

Overview
This SLA applies to SecturaSOFTs SaaS-based services ("SaaS Services") and hosting services ("Hosting Services"). The SaaS Services and Hosting Services are also referred to herein as "Services".
If we do not achieve and maintain the Service Level for the Services as described in this SLA, you may be eligible for a credit towards a portion of your monthly Services fees. We will not modify the terms of your SLA during the initial term of your Services subscription; however, if you renew your subscription, the version of this SLA that is current at the time of renewal will apply throughout your renewal term. We will provide at least 90 days' notice for adverse material changes to this SLA.

Delivery of Services
SecturaSOFT will perform the Services in accordance with its standard policies and procedures then in effect.

Service Level
SecturaSOFT commits to provide 99.5% availability of the Services (taken as a whole) during each calendar month of your Services term. "Availability" is computed as follows:Downtime: Any period of time when you are unable to access the Services (taken as a whole).Maximum Available Minutes: the total accumulated minutes during a calendar month that the Services are deployed.

Service Credits
Customer is eligible to receive a service credit if Availability during a calendar month falls below 99.5% and Customer is detrimentally impacted. The service credit will equal 10% of the applicable Services fees paid for such month for each full percentage point Availability falls below 99.5%, but not to exceed 50%. For example, if Availability during a calendar month is equal to 97.5%, then the available service credit is equal to 20% of the Services fees paid for such month.

Credit Request
To receive a service credit, you must request the credit by emailing support@secturasoft.com or other SecturaSOFT designee in writing within 30 days following the end of the calendar month you're eligible to receive a credit.
SecturaSOFT will calculate Availability using its systems logs and records. You must be in good standing to receive a service credit hereunder. Any service credits will be applied to a future Services invoice. If no further invoices apply, any available service credit will be refunded to you. You may not unilaterally offset an invoice.
If you purchased the Services from a reseller and the reseller invoices you directly for such Services, you will receive the service credit directly from your reseller, and the reseller will receive a service credit directly from us.

Limitations
This SLA and the Service Level do not apply to any Availability issues:

  • Due to factors outside our or our supplier's reasonable control (for example, natural disaster, war, acts of terrorism, government action, or a network or device failure external to our data centers, including at your site or between your site and our data center);
  • That result from the use of services, hardware, or software not provided by us, including, but not limited to, issues resulting from inadequate bandwidth or related to third-party applications or services;
  • Caused by your use of the Services after we advised you to modify your use of the Services, if you did not modify your use as advised;
  • Caused by your failure to (i) apply conforming updates to on-premises software furnished to you as part of the SaaS Services or (ii) maintain an application support subscription for applications hosted as part of the Hosted Services and/or fail to apply updates to the hosted applications or supporting client-side applications.
  • With respect to non-production (e.g., test and trial) environments and/or preview, pre-release, beta or trial versions of the Services;
  • That result from your unauthorized action or lack of action when required, or from your employees, agents, contractors, or vendors, or anyone gaining access to our network by means of your passwords or equipment, or otherwise resulting from your failure to follow appropriate security practices; or
  • During scheduled maintenance.

Precise Business Solutions SERVICE LEVEL AGREEMENT

Overview
This SLA applies to Precise Business Solution's SaaS-based services ("SaaS Services") and hosting services ("Hosting Services"). The SaaS Services and Hosting Services are also referred to herein as "Services".
If Precise Business Solution ("we" or "Precise") do not achieve and maintain the Service Level for the Services as described in this SLA, you (the end user) may be eligible for a credit towards a portion of your monthly Services fees. We will not modify the terms of your SLA during the initial term of your Services subscription; however, if you renew your subscription, the version of this SLA that is current at the time of renewal will apply throughout your renewal term. We will provide at least 90 days' notice for adverse material changes to this SLA. Service Level
Precise Business Solutions commits to provide 99.5% availability of the Services (taken as a whole) during each calendar month of your Services term. "Availability" is computed as follows:
Downtime: Any period when you are unable to access the SaaS Services (taken as a whole).
Maximum Available Minutes: the total accumulated minutes during a calendar month that the Services are deployed.

Service Credits
You are eligible to receive a service credit if Availability during a calendar month falls below 99.5% and you are detrimentally impacted. The service credit will equal 10% of the applicable Services fees paid for such month for each full percentage point Availability falls below 99.5%, but not to exceed 50%. For example, if Availability during a calendar month is equal to 97.5%, then the available service credit is equal to 20% of the Services fees paid for such month.

Credit Request
To receive a service credit, you must request the credit by creating a support ticket using Precise Business Solutions Customer Portal (https://precisebusiness.atlassian.net/servicedesk/customer/portals) or contacting Precise Business Solutions designee in writing within 30 days following the end of the calendar month you're eligible to receive a credit. Precise Business Solutions will calculate Availability using its systems logs and records. You must be in good standing to receive a service credit hereunder. Any service credits will be applied to a future Services invoice. If no further invoices apply, any available service credit will be refunded to you. You may not unilaterally offset an invoice.
If you purchased the Services from a reseller and the reseller invoices you directly for such Services, you will receive the service credit directly from your reseller, and the reseller will receive a service credit directly from us.

Duo Products are licensed separately pursuant to the Duo Service Terms and Conditions or similar agreement available at https://duo.com/legal/terms in effect at the time licensed.

Any press release by Customer using Duo Security's name and/or logo shall be expressly approved in writing by Duo Security and Epicor.

Unit4 Products

Unit4 Products (formerly known as Coda Products) are licensed pursuant to the Unit4 Customer Software Licence and Support Agreement available at https://www.unit4.com/legal-agreements-compliance or similar agreement available at https://www.unit4.com/legal-agreements-compliance in effect at the time the Unit4 Product(s) are licensed.

New sales and upgrades for Eagle OS/Linux and/or True Value comm will be subject to a fee from True Value for Afaria high speed or Remoteware, and a monthly support fee will be billed directly from True Value to the member's True Value Statement.

BisTrack Azure, Customer Write Database Access, SaaS on Azure #
LumberTrack Azure, Customer Write Database Access, SaaS on Azure #

Write Access includes access to version of database for customer to use for critical functions customers choose for stored procedures and other critical functions.

Epicor strongly encourages Customers who engage with write access to gain the required expertise, and test all events in a non production environment before deploying to a production environment. Even still, there can be unintended consequences, and inherent risks involved in Write Access. Nevertheless, Epicor believes its Customers know what is best for them and Epicor strives to support all Customer decisions, even ones we believe should not be undertaken (such as Write Access).

Please know that any use of Write Access can vitiate Epicor's Product and Services warranty, Support obligation, and uptime Availability Standards. Further, Epicor may choose not to provide support or help address any issues or requests you might have if you engage in Write Access, and any support that is provided due to write access would be done on a time and material basis. Thus, all use after Write Access become AS-IS, WHERE IS, WITH ALL FAULTS.

The subscription to the Epicor ECM Software as a Service (SaaS) includes 10 GBs of storage plus 1 GB of storage per Guaranteed Access User and/or 2 GB of storage per Concurrent User, which will be aggregated as one storage pool available to all subscribers. Storage use will be determined around the 15th day of the last month prior to the end of each calendar quarter. The actual storage amount consumed will be rounded to the next full gigabyte and used as the basis for the next quarter's storage charge and invoiced accordingly.

E4W Seasonal POS Plus Package, per Station #

Your E4W Seasonal POS Plus Package Software is licensed based on seasonal use. This means you cannot use such software in a production environment more than four (4) calendar months per calendar year. In addition your total Seasonal POS Plus licenses cannot exceed twenty percent (20%) of your total Eagle Software point of sale and/or station licenses.

Licensing for Eclipse EDI Platinum Services is based on your number of trading partners. If the number of trading partners increases, your monthly invoicing will automatically increase based on the then-current Epicor price list. Your EDI consultant will work with you on what incremental monthly price to expect.

Kinetic/ERP Cloud:
For Kinetic/ERP Cloud customers subject to fluctuating seasonal demands or other time constraints that may prevent them from upgrading on cadence, this offering allows customer to defer the twice-a-year release upgrades for up to 90 days, for an additional subscription fee. Subscribers to the Epicor Public Cloud Flex Option for Kinetic/ERP may opt to select among two or three alternate pre-selected dates for the release upgrade. Additional fees may apply if a customer is unable to meet the pre-selected dates.

Epicor assumes all cloud customers will remain on cadence. It is the responsibility of the subscriber to notify Epicor that they wish to exercise their option to defer the upgrade, by submitting an EpicCare ticket before the stated deadline. If the subscriber does not notify Epicor via the standard process in a timely manner, they are subject to the regularly scheduled cadence upgrade. Participation in the program does not extend the test period. Subscribers to the Epicor Public Cloud Flex Option will continue to receive one month to test upgrade releases in their Pilot environment.

Epicor Prophet 21 Cloud:
For Epicor Prophet 21 Cloud customers subject to fluctuating seasonal demands or other time constraints that may prevent them from upgrading on cadence, this offering allows clients to defer the twice-a-year version upgrades for up to 120 days, for an additional subscription fee. Subscribers to the Epicor Public Cloud Flex Option for Prophet 21 may opt to select among any of the communicated dates for the Play upgrade and for the Production upgrade. Additional fees may apply if a customer is unable to meet the selected dates.

1. The Recipes and Connectors associated with the Workato product will not function independently of the Workato application.
2. Recipes and Connectors created by Customer are private by default, which means that only Customer has access to such Recipes and Connectors in its account. Customer can decide (in its sole discretion) to share the private Recipes and private Connectors with other users by marking them "public," and Customer grants Workato an irrevocable, perpetual, transferable, sublicensable and worldwide license under any rights Customer has in those Recipes and Connectors that are marked public, to view, use, copy, modify and distribute those Recipes and Connectors. Those Recipes and Connectors will become part of the broader community Recipes and Connectors in the Workato Platform. Customer agrees that it will not assert any claim against Workato or any Workato users for infringement or misappropriation of any Recipes or Connectors which are similar to, or the same as, any Recipes and Connectors created by Customer.
3. The Workato product must be used in conjunction with Epicor Product Integration.
4. Each connection may be used for up to 6 million tasks per year. A task is defined as a unit of work performed every time a Recipe does an action (e.g., fetch data from an application by making an API call).
5. The applicable SLA for the Workato product is as follows (and this SLA applies in lieu of any other SLA or warranty remedy for the Workato application):

Workato Service Uptime
The Workato Embedded Edition will be available for use no less than 99.5% as measured on a calendar monthly basis (the "Service Commitment"). Customer may access monthly availability at http://status.workato.com. This Service Commitment excludes (i) scheduled maintenance typically performed during the hours of 10 pm to 6 am PT, beginning Friday evening, and typically lasting no more than two hours; (ii) emergency or unscheduled maintenance of up to 120 minutes per calendar month performed with reasonable advance notice, when possible; (iii) events of force majeure after taking reasonable precautions consistent with industry standards; (iv) acts outside of Workato's reasonable control; (v) interruptions in utility service or third party networks that prevent internet users from accessing the Services; and (vi) Customer's lack of availability to collaborate with Workato on incidents that require Customer's participation to root cause and resolve the issue (collectively, the "Service Commitment Exceptions").

Service Level Credit:

1. Service Level Credit ("Service Credit") means the credit identified below, which may be offered to Customer in the event that Customer reports a Service Commitment of less than 99.49% where applicable fees have been paid for the applicable access to Workato Embedded Edition during the Term. The measurement period is for a given calendar month, and the Service Credit applies to the pro rata amount of the annual subscription applicable to that month.

2. In order to request a Service Credit, Customer must send an email request to: support@workato.com within ten (10) days after the last day of the calendar month in which the Service Commitment is not met (for example, if the unplanned downtime occurred during the month of August, Workato must receive Customer's email between September 1st and September 10th). Failure to submit a request for Service Credits as required by the terms of this section will result in a forfeiture of any Service Credits that may be due to Customer. Workato will review any requests for Service Credits during normal business hours and will issue applicable Service Credits to Customer as a credit towards future invoices. In the event that there is no future invoice, Workato will either issue a refund to Customer or grant Customer extended use rights to the Workato Embedded Edition after the expiration of the Term. In no event shall the total amount of Service Credits due to Customer, exceed the fees paid by Customer for the corresponding month when such Service Credit is requested. This section does not relieve the Customer of any of its payment obligations under the Agreement.

3. Workato shall not owe Customer any Service Credits for failure to meet any Service Commitment where such failure arises from: (i) any Service Commitment Exceptions; or (ii) Customer or its authorized users' (including Customers') acts or omissions, negligent, willful misconduct, or any use of Customer account which impacts the performance, stability or availability of the Workato Embedded Edition.

4. This section shall not apply during any trial or free subscription period of the Workato Embedded Edition. e. If the Service Commitment is less than 99% for 3 consecutive calendar months, Customer may terminate the order for the Workato product upon written notice to Workato without penalty and receive a pro-rated refund of any unused, prepaid fees following the effective date of the termination. The foregoing is Customer's sole and exclusive remedy for Workato's failure to meet the Service Commitment.
